AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (”you”) and Modivize (“Company”, “we”, “us”, or “our”), concerning your access to and use of the https://www.modivize.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Site (https://www.modivize.com)  from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms of Use, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Use to stay informed of updates. You will be subject to and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.

The information provided on the Site (https://www.modivize.com) is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site (https://www.modivize.com) from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Site (https://www.modivize.com) is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Site (https://www.modivize.com).

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (https://www.modivize.com) (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, international copyright laws, and international conventions. The Content and the Marks are provided on the Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms of Use, no part of the Site (https://www.modivize.com) and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Provided that you are eligible to use the Site (https://www.modivize.com), you are granted a limited license to access and use the Site (https://www.modivize.com) and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, the Content and the Marks.

USER REPRESENTATIONS

By using the Site (https://www.modivize.com), you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Site (https://www.modivize.com) through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Site for any illegal or unauthorized purpose; and (7) your use of the Site will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (https://www.modivize.com) (or any portion thereof).

USER REGISTRATION

You may be required to register with the Site (https://www.modivize.com). You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

Modivize Web Solutions Hosting provides a number of services and products to its customers, which are collectively referred to in these TOS as the “Services”.  Regardless of whether you pay for a Service or it is provided as part of a package, as a standalone full price or discounted service or for free, any Service you request or allow to be provided by Modivize Web Solutions is included as part of the “Services” we refer to in these TOS and the other Policies.  All Services are subject to each of our Policies.  Certain Services may also be provided by third parties and their terms of service or use that may contain additional or different terms will also apply to your use of such Services.  We may change the specifications or details of the Services at any time but we have no obligation to change the Services. Additionally, the third parties we contract with to provide Services may change their offering at any time, including between the time of purchase and the date the Services are delivered.  We will use commercially reasonable efforts to inform you of changes to the Services.

1.b Terms Specific to Domain Name Services (part of Web Hosting & Maintaining Services)

We resell domain names. When you apply to register a domain name, your request is transmitted to eNom (www.eNom.com).  By using our Domain Name Services, you agree to be bound by eNom’s domain name registration policies and procedures, so please read them. These policies and procedures are available at: www.eNom.com/terms.  Because of the mechanics of domain name registration, we cannot guarantee that your domain name will be registered.  After registration, it is your responsibility to ensure your domain name does not lapse and is timely renewed and we are not responsible for any lapse or any damages caused by any lapse.  We will make commercially reasonable efforts to renew any domain names that are set to auto-renew.  NOTWITHSTANDING THE FOREGOING, ANY SUCH RENEWAL IS YOUR RESPONSIBILITY AND WE SHALL HAVE NO LIABILITY FOR THE FAILURE OF ANY SUCH RENEWAL OR AUTO RENEWAL, ANY RELATED DOMAIN EXPIRATION OR THE REGISTRATION OF ANY EXPIRED DOMAIN BY A THIRD-PARTY.

It is your sole responsibility to fully investigate and ensure that the domain name you register does not infringe on the legal or intellectual property rights of others. We do not check to see whether a domain name you register or use infringes on the rights of any third party and we suggest you seek advice of legal counsel before registering any domain.

Modivize Web Solutions will use commercially reasonable efforts to comply with any legal order to cancel, modify, or transfer your domain name. ICANN’s Transfer Policy requires a 60 day transfer lock to apply to your domain name(s) in the event of any “Change of Registrant.” Modivize Web Solutions Hosting currently locks your domain name for any change involving your WhoIs information. This feature is designed to protect your domain from any unauthorized attempt to transfer your domain. We do not offer an option to opt out of the 60 day transfer lock. Any “Change of Registrant” as defined by ICANN’s Transfer Policy will subject the domain to a 60 days transfer lock. Please note that the parameters that trigger the 60 day transfer lock are subject to change. The current parameters which trigger the 60 day lock include: (A) change of registrant First Name, (B) change of registrant Last Name, (C) change of registrant Organization Name, (D) change of registrant Email.  You also agree and understand ICANN’s policies for Domain Verification and any other current or future policies they might enact.  More information can be found here: https://www.enom.com/raa/, http://www.icann.org/en/resources/registrars/registrant-rights/educational, and http://www.icann.org/en/resources/registrars/registrant-rights/benefits 

1.c Terms That Apply to All Hosting Services

Our hosting accounts are allocated bandwidth depending on the package you select.  The bandwidth for Services purchased does not rollover and is not creditable across periods.  In the event you require more bandwidth than you have purchased, your account may be suspended until the next period, you may purchase additional bandwidth by upgrading your account, your account may be terminated for a violation of the terms of the package you purchased, or we may charge you an additional fee for the overage, in our sole discretion.

We will provide, as part of the Service cost, the number of primary IP addresses included in the plan you select.  You may request additional IP addresses for an additional fee.  If we need to change one of your assigned IP addresses we will notify you of the change by email. You may use the IP addresses provided only in association with the Services and they may not be transferred.

In using our hosting Services, you may not place excessive burdens on our CPUs, servers, or other resources, including our customer support services. You understand that bandwidth, connection speeds, and other similar indices of capacity are maximum numbers. Consistently reaching these capacity numbers may result in our need to place restrictions on your use of the Services, including suspension or termination of your account or a reduction in bandwidth available for your use (also known as bandwidth throttling), in our sole discretion. You agree that we may place restrictions on your use of the Services or customer support services to the extent that they exceed the use of these resources by similarly situated customers.

    For Modivize Web Solutions Shared Web Hosting, the terms “unlimited” and “unmetered” are defined by our experience with similarly situated customers. This means that your use of our resources may not exceed that of similarly situated customers. Shared Web Hosting Use may not include: (i) streaming content (other than that which is incidental to your website’s operation), (ii) management of very large photo galleries, (iii) storage of a large amount of uncompressed or full-size digital images, (iv) online file (FTP) serving, (v) distribution of large audio or video content such as MP3 files, and (vi) online backups (i.e. backup of desktop/laptop computer, files, or anything not directly related to the website).  You agree that we may remove impermissible materials from our servers at any time in our sole discretion without notice.  We may also delete the following types of files if we find them to be using excessive amounts of disk space, especially if affecting other customers: (i) cPanel or other backups stored locally, (ii) Softaculous backups stored locally, (iii) Softaculous backup temp files, (iv) Common CMS backups stored locally, (v) Common CMS backup temp files, (vi) Common CMS backup logs, (vii) excessively sized error logs, and (viii) any other large files deemed unnecessary for core website functionality or not containing any valuable data.

    For our cPanel Shared Web Hosting, our complimentary Server Rewind will provide complimentary backups of your data.  These backups will be done using our commercially reasonable efforts and may not include all files, including some email files, due to technical constraints.  Server Rewind backups are limited to an aggregate 50GB quota. If you exceed 50GB of disk usage in your account, your account will no longer be backed up. Please download any cPanel backups and store them locally.

    1.d Access

    You will not have physical access to any of the servers on which your data is stored.  These servers will often be shared with third parties.  Use by any third party may affect your use and administration of the server. You shall not take any actions to limit the use of or alter the server or Service functionality or the functionality of any related equipment.

    1.e Control Panel: cPanel

    cPanel Services are provided through a third party.  When you subscribe for use of cPanel with any of the Services, you agree to be bound by cPanel’s End User License Agreement, available at: http://cpanel.com/legal-store.html.  Please be sure to review cPanel’s End User License Agreement before use of cPanel-related Services.

    As of on January 1, 2021 (the “New cPanel License Start Date”), if your web hosting plan comes with access to cPanel-related Services, a cPanel license will be applicable to your plan. Your web hosting plan will determine which type of cPanel license will be applicable. Each cPanel license type comes with a set number of cPanel accounts that can be created. If you need additional cPanel accounts than what is included with your plan’s default cPanel license, you may be required to either upgrade your plan or purchase additional cPanel accounts.

    1.f Enrollment; Account Information

    Enrollment:
    YOU WARRANT THAT BEFORE YOU USE ANY OF THE SERVICES OR SIGN UP FOR AN ACCOUNT THAT YOU ARE AT LEAST 18 YEARS OF AGE AND HAVE THE AUTHORITY TO BIND YOURSELF OR THE ENTITY YOU REPRESENT TO THESE TOS.  You may be subject to a credit check and screening for potential fraud and accurate information must be supplied for purposes of this screening.  Further, before using the Services, you represent and warrant to Modivize Web Solutions that: (i) you have the experience and knowledge necessary to use the Services; (ii) you understand and appreciate the risks inherent to you, your business and your person, which come from using the Services in particular, and doing business on the Internet in general; and (iii) you will provide us with material that may be implemented by us to provide the Services.

    Account Information:
    You are required to provide us with accurate information when setting up your account.  You must also keep this information, including your email address, up to date during the course of our relationship. On occasion, we may need to communicate with you by email about the Services. We have no responsibility, or liability, for interruptions in the Services, or damages of any sort, based on email communications that are misdirected or blocked by a third party application, including as a result of your failure to maintain updated account and contact information or for circumstances beyond our control.

    Account Security:
    You are responsible for all actions that are performed with, by, or under your account credentials whether done by you or by others. All account access, password, and other security measures are your responsibility. Modivize Web Solutions is not liable for any damages, direct or indirect, that result from unauthorized account access or use.

    In addition to terms under the Support Policy, located at https://www.modivize.com/terms-of-service, in connection with support services, you will be responsible for all authorized actions taken by our support personnel using your login.  Before you request support, you should backup your data.

    You agree to give Modivize Web Solutions permission to access your accounts for the purpose of troubleshooting technical issues with the account or server and to confirm compliance with all of our Policies.  We also conduct automated scans of data for security purposes and reserve the right to change permissions, modify files or quarantine files that are deemed to be malicious in nature.

    1.g Term of Agreement;Billing & Payment

    Term:
    We are not bound to perform Services until we receive payment from you when you checkout through our web platform (the “Effective Date”).  We will begin delivery of the Services on the Effective Date and continue until the date set out on the page describing the Services located in your signed and dated contract.

    AUTOMATIC RENEWAL:
    The Initial Term will AUTOMATICALLY RENEW for successive periods of equal duration (each a “Renewal Term”).  If you wish to discontinue the Services, you need to notify us by using one of the methods below before automatic renewal for a Renewal Term. You can notify us by:

    Contacting us at least fifteen (15) days before the beginning of a Renewal Term by sending an email to info(at)modivize.com  (replace “(at)” with “@”).

    Termination:
    Regardless of the method of termination by you, valid proof of account ownership and authorization to cancel are required to terminate an account.

    1. Termination for Convenience:
        1. Either party may terminate the Services for convenience upon fifteen (15) days prior by providing written notice to the other.  We only accept cancellations via email at info@modivize.comIf you terminate for convenience, you will be responsible for all charges for the duration of the then active Initial or Renewal Term.  
        2. Before cancelling, we request that you, but do not require you to, contact us and request an escalation of your issue if your cancellation is due to unsatisfactory services or an unsatisfactory answer to a previous issue. If your agreement with us is for a set term, please contact us via info@modivize.com prior to canceling to determine what your charges will be in connection with the termination.  All cancellation requests need to be submitted via email to info@modivize.com .
    2. Modivize Web Solutions Hosting Termination:
      We reserve the right to immediately suspend or cancel the Services without notice: (a) for a violation of these TOS, including any of our Policies; (b) for your failure to pay any amounts due, (c) to prevent a service interruption by an Internet Service Provider or other network services provider, or (d) to protect the integrity of Modivize Web Solutions network or the security of the Services. You are not entitled to notice or protest should we exercise these rights. Upon termination, your account will be closed, data deleted, and all fees and charges due and payable must be paid to us. Once your account is closed, we have no responsibility to: (x) forward email, or other communications or (y) maintain any data backup that predates the termination date. If allowed, you are encouraged to keep the Service active during a transition period should you seek to forward your email or other communications.  If we suspend or terminate your use of our Services because you have violated these TOS, including any of our Policies, we will not provide you with a credit.
    3. For Breach:
      You may terminate the Services upon the occurrence of a material breach by Modivize Web Solutions Hosting, which has not been cured within thirty (30) days of our receipt of written notice of the breach. A material breach does not include any of the items listed in Section 19(b).  Notice of a material breach must contain sufficient detail for us to identify the breach and attempt to take corrective action.
    4. Post Termination Access:
      If we are able to provide data from backup in an account that has been terminated, you will be subject to a one-time charge of forty-five dollar ($45) or more to cover the cost of the access.  All data in accounts that are not renewed or are terminated will be removed from our servers and will likely be irretrievably lost. Any domain registration packages associated with these accounts will also be canceled.

    1.h Use of the Hosting Services

    Your use of the Services is governed by these TOS, including our Policies.  Modivize Web Solutions  HOSTING PROVIDES NO GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, OR CONTINUOUS, OR THAT YOU WILL BE ABLE TO ACCESS MODIVIZE WEB SOLUTIONS HOSTING NETWORK AT A PARTICULAR TIME, OR THAT ANY DATA TRANSMITTED BY MODIVIZE WEB SOLUTIONS HOSTING IS ACCURATE, ERROR FREE, VIRUS FREE, SECURE, OR INOFFENSIVE.

    1.i Data Backups

    YOU ACKNOWLEDGE THAT IT IS SOLELY YOUR RESPONSIBILITY TO REGULARLY BACK-UP AND MAINTAIN COPIES OF YOUR DATA OUTSIDE OF MODIVIZE WEB SOLUTIONS HOSTING NETWORK. Modivize Web Solutions Hosting is not responsible for any data loss or corruption, including that result from: (i) our authorized actions, (ii) those actions you take using the Services, (iii) hardware failures, (iv) any software or other technology failures, or (v) account termination, cancellation, or suspension.

    1.j Licenses; Intellectual Property; Data Ownership

    1. Services performed or provided by Modivize Web Solutions are either Modivize Web Solutions original work or are the works of third parties from which Modivize Web Solutions has obtained necessary permissions to provide and are not “works made for hire”. We hereby grant you a license to use the Services and technology under the terms of these TOS, including our Policies.  The license is non-exclusive, non-transferable, non-sublicensable worldwide, and royalty free and terminates when you or Modivize Web Solutions terminates the Services.
    2. All right, title and interest in Modivize Web Solutions technology and the Services shall remain with Modivize Web Solutions, or Modivize Web Solutions licensors. You are not permitted to circumvent any devices designed to protect Modivize Web Solutions, or its licensors’, ownership interests in the technology or Services provided to you. In addition, you may not reverse engineer this technology or the Services.
    3. We use all information we gather as specified under the terms of our Privacy Policy.  You hereby grant Modivize Web Solutions, and any third parties used by Modivize Web Solutions to provide the Services, a non-exclusive, non-transferable, worldwide, royalty free license to use, disseminate, transmit and cache content, technology and information provided by you and, if applicable, End Users, in conjunction with the Services.

    Optimizing the content on your website properly to append to S.E.O. strategy and principal. To achieve best on-site S.E.O. results, websites should be designed for Google, Bing and Yandex search engines once all content and pages have been optimized correctly.

    Off-Site S.E.O.:
    Optimizing content for social media and maintaining social media accounts in a specific manner to send visitors to your website via backlinks, ads, etc. The top social media platforms are Facebook, Instagram, Twitter, YouTube, LinkedIn and Pinterest.

    Regional S.E.O.:
    Optimizing business content and business listings for Google, Bing and Yandex so search engine users find your business when they make a search for a business in your field.

S.E.O. isn’t an instant process, but rather it takes time to generate and work on the internet where all businesses compete in the S.E.O. process to come out in top searches. The ultimate goal is to get your business to show up as much as it can in top rankings and spots in search engines and listings for your area of expertise. 

    It’s commonplace for people to think that their business should show up in top searches after a few months, but that’s not the case. It has to be maintained properly and the right content and care has to go into it to give your business a chance at performing better.

    When a client purchases a S.E.O. starter package with Modivize, they are ensuring their content is set up correctly in order to post and maintain content online. Once set up and optimized, the right content must be applied to the right places. 

    When a client purchases an S.E.O. monthly retainer package with Modivize, they are ensuring their content is being maintained properly to append to S.E.O. to make sure their business will show up in the right places over time.

    2.e When I purchase an S.E.O. package, will Modivize train me on how to maintain my S.E.O.?

    No, we do not train clients or any member of the public or business world how to conduct and maintain S.E.O. for their business. Modivize provides a service to the public that is kept at an industry standard whereas much of the information is classified as trade secrets.

    Any individual can learn how to optimize their S.E.O., though it is up to the individual to seek the proper training for S.E.O. through an accredited professional in the field. S.E.O. training is expensive and usually costs between $6,000 to $13,000 depending on the course and class size. Most opportunities are presented as a 1-on-1 learning class over the duration of a week or two.

    2.f How am I billed for 1-Time Setup S.E.O. or Monthly S.E.O. Retainers?

    When you purchase your 1-Time Setup S.E.O. package (Starter, Advanced, or Professional), you will be billed automatically for the service. 

    Once Modivize completes your 1-Time Setup S.E.O. package of your choice, we offer Optional Monthly S.E.O. Retainer packages which are paid for up front and end at the end of the 30 day mark.

    2.g What will I need to give Modivize to complete my Starter S.E.O. package?

      1. Your website login credentials (username and password) if you don’t have a website account with Modivize.
      2. Your existing social media business page links (URL’s)
      3. Your gmail login credentials (email and password) that is associated with logging into your primary Google account for business purposes.     Yes, we provide our 1-Time S.E.O. Setup package clients with an email that contains your usernames, passwords, account URL’s and business information for your access.

    2.k Once my website and pages are optimized, am I finished with S.E.O.?

    S.E.O. is a process that needs to be maintained over time if you want to show up in top searches in search engines. In short, a business is never finished with S.E.O., though a business needs to be set up properly in order for it to work correctly in the first place, then maintain it correctly.

    This process takes time where your business will take time to generate in search engines upon completing your S.E.O. package of choice.

    While your business will be viewable on different search engine listings such as Google, Bing, and Yandex (depending on the S.E.O. service you choose), other competitors will show up over your business if your S.E.O. content isn’t maintained properly. To help remedy this you should be adding new content to your website (such as blog articles) at least once a week or several times a month. 

    Whenever you add new content to your website, your new content should also be optimized for S.E.O. purposes. Modivize has an optional monthly retainer package for this where we optimize new content on your page for $300 a month for up to 5 pages or articles of new information.

    2.l Does Modivize help with optimizing my new website content for S.E.O.?

    Yes, this service is only available to clients who have purchased a Modivize Starter, Advanced or Professional S.E.O. package and have been notified of their 1-time setup completion.

    Whenever you add new content to your website, your new content should also be optimized for S.E.O. purposes. We have an optional monthly retainer package for this where we optimize your new content on your website for $300 a month for up to 5 pages or articles.

    Modivize’s ‘Optional Monthly Retainer’ S.E.O. packages run per-month, so that means a business can choose which months they wish to have their new content optimized. Many businesses wish to have their content optimized for S.E.O. per month on an ongoing basis. 

    If you require optimization for more than 5 new pages per month, please contact us and we will make a custom monthly retainer package for your business.

    2.m Once my website and pages are optimized, am I finished with S.E.O.?

    No, Modivize does not give discounts to organizations. All businesses, organizations, and entities are treated equally for all service packages, unless promo codes are available.

    2.n Enrollment; Account Information

    Enrollment:
    YOU WARRANT THAT BEFORE YOU USE ANY OF THE SERVICES OR SIGN UP FOR AN ACCOUNT THAT YOU ARE AT LEAST 18 YEARS OF AGE AND HAVE THE AUTHORITY TO BIND YOURSELF OR THE ENTITY YOU REPRESENT TO THESE TOS.  You may be subject to a credit check and screening for potential fraud and accurate information must be supplied for purposes of this screening.  Further, before using the Services, you represent and warrant to Modivize Web Solutions that: (i) you have the experience and knowledge necessary to use the Services; (ii) you understand and appreciate the risks inherent to you, your business and your person, which come from using the Services in particular, and doing business on the Internet in general; and (iii) you will provide us with material that may be implemented by us to provide the Services.

    3.c Can I purchase the design file for my social media ad?

    Yes, we release the design file for any ads we make at Modivize for a one-time fee of $75 upon request once your 1-month package is completed. Design files could come in .PSD (Photoshop) or .AI (Illustrator) formats. In order to edit the file you will require an up-to-date version of Adobe Photoshop.

    3.d What will I need to give Modivize to complete my Social Media Maintenance & Ad Campaign Package for one month?

      1. In addition to the monthly fee for this package, we would require the amount for your ad spend budget (between $200 – $1,000 for one month) per your social media account(s) of choice. Simply let us know which social media accounts you wish for Modivize to administer ads from.
      2. Username / email and password to log into your Facebook, Instagram, Twitter, LinkedIn accounts.
        If you do not have a specific account, Modivize will make an account for you. In essence of this, Modivize will require your email username or password to create each account, or we can make an email specifically made for these purposes.
        Note: We ask for this information and do not ask to become an ‘administrator’ of an account due to social media billing purposes. It is important that your information for your billing on your social media account is invoiced under your name (and not Modivize or a Modivize team member).
        3. Your website address along with your username and password used to access your website
        4. Photos you may wish to use for your pages and ads. If you do not have photos for your business purposes, we can use photos from our libraries that will be appropriate for your brand.
        5. YouTube video links to your YouTube content – if you have a YouTube account with content on it. You cannot re-upload other YouTube users’ content as your own.
        6. Information list pertaining to your target audience. If you do not have this information, Modivize will find your target audience for you via our analytics methods for your business type.

    3.e What is a target audience?

    A business’s target audience is a particular group of people who will be looking for your services. Your target audience is usually defined by the following:

    • Age 
    • Gender 
    • Location (Town, City, Region, Province, State, Country)
    • General interests (i.e. hockey, fine art, pizza)

    3.f Will Modivize send me an email with my new usernames, passwords, and account login credentials after completion of my 1-month Social Media Maintaining & Ad Campaigns?

    Yes, we provide our Social Media Maintaining & Ad Campaigns package clients with an email that contains your usernames, passwords, account URL’s and business information for your access after we’ve completed the one month of contracted work.

    If you are a returning monthly client, Modivize will not have to re-send this same information on an on-going basis as you will already have this information. If you require this information to be re-sent to you at any time, please contact Modivize and we will send it to your account email on file.

    3.g Will Modivize give me a document pertaining to my Social Media Ad Campaign Statistics after completion of my 1-month Social Media Maintaining & Ad Campaigns package?

    Yes, we provide our Social Media Maintaining & Ad Campaigns package clients with an ‘Account PDF Booklet’ that contains how your Social Media Ads have performed.

    We do a report every week for one month pertaining all of your ad performance statistics, then compile the 4 ad reports into one document to send to you to show you your performance per week for the month of your campaign(s).

    3.h What are Social Media Maintenance & Ad Campaigns?

    Social Media Maintenance is a process where a business’s social media pages are optimized with premium content by a professional digital marketing team such as Modivize. 

    When a business has a Social Media business page, the business should have Ad Campaigns conducted per their social media accounts to ensure their professional ads are marketed properly to their specific targeted audience. These ads first have to be designed to fit a proper criteria for both sizing, design and psychological effect, then they are launched per platform of choice (see below) where each platform requires a specific ad account (one ad account does not cover them all).

    4.b How am I billed for Single Social Media & Google Ad Campaigns Packages?

    When you purchase your Single Social Ad Campaign Package (Social Media, Google, or Google/YouTube ), you will be billed automatically for the service for one month.

    4.c Can I purchase the design file for my social media ad?

    Yes, we release the design file for any ads we make at Modivize for a one-time fee of $75 upon request once your 1-month package is completed. Design files are in .PSD (Photoshop) or .AI (Illustrator) format. In order to edit the file you will require an up-to-date version of Adobe Photoshop.

    4.d What will I need to give Modivize to complete my Single Social Media & Google Ad Campaigns Packages for one month?

    1. In addition to the monthly fee for this package, we would require the amount for your ad spend budget (between $200 – $1,000 for one month) per your social media account(s) of choice. Simply let us know which social media accounts you wish for Modivize to administer ads from.

    2. Username / email and password to log into your Facebook, Instagram, Twitter, LinkedIn, Google or YouTube accounts. If you do not have a specific account, Modivize will make an account for you. In essence of this, Modivize will require your email username or password to create each account, or we can make an email specifically made for these purposes.

    Note: We ask for this information and do not ask to become an ‘administrator’ of an account due to social media billing purposes. It is important that your information for your billing on your social media account is invoiced under your name (and not Modivize or a Modivize team member).

    3. Your website address (if not hosted with Modivize) + your logo (if not present on your website.

    4. Photos and graphics you may wish to use for your ads. If you do not have photos or graphics for your business purposes, we can use photos and graphics from our libraries that will be appropriate for your brand.

    5. Information list pertaining to your target audience. If you do not have this information, Modivize will find your target audience for you via our analytics methods for your business type.

    4.e What is a target audience?

    A business’s target audience is a particular group of people who will be looking for your services. Your target audience is usually defined by the following:

    • Age 
    • Gender 
    • Location (Town, City, Region, Province, State, Country)
    • General interests (i.e. hockey, fine art, pizza)

    4.f Will Modivize send me an email with my new usernames, passwords, and account login credentials after completion of my 1-month Single Social Media & Google Ad Campaigns?

    Yes, we provide our Single Social Media & Google Ad Campaigns package clients with an email that contains your usernames, passwords, account URL’s and business information for your access after we’ve completed the one month of contracted work.

    If you are a returning monthly client, modivize will not have to re-send this same information on an on-going basis as you will already have this information. If you require this information to be re-sent to you at any time, please contact Modivize and we will send it to your account email on file.

    4.g Will Modivize give me a document pertaining to my Ad Campaign Statistics after completion of my 1-month Single Social Media & Google Ad Campaign package?

    Yes, we provide our Single Social Media Maintaining & Google Ad Campaigns package clients with an ‘Account PDF Booklet’ that contains how your Social Media Ads have performed.

    We do a report every week for one month pertaining all of your ad performance statistics, then compile the 4 ad reports into one document to send to you to show you your performance per week for the month of your campaign(s).

    4.h What are Single Social Ad Campaigns?

    When a business has a Social Media business page, the business should have Ad Campaigns conducted per their social media accounts to ensure their professional ads are marketed properly to their specific targeted audience. These ads first have to be designed to fit a proper criteria for both sizing, design and psychological effect.

    Once the design is completed, the ad is then launched per platform of your choice (see below) where each platform requires a specific ad account (one ad account does not cover them all).

    Mainly, businesses should have most (or an assortment defined for their business) of the following pages to launch ads from:

    If additional revisions are requested outside of the 3 simple revisions, the client will be quoted an overall price, then be billed $45/hour for additional design work immediately upon agreed to revisions.

    These designs are the face of your business. Every business requires graphic, ad, and logo designs which vary from business to business due to their branding specifics. These specific designs are used to communicate a message on behalf of a business and its branding for a specific purpose. In general, graphic designs should be pleasurable, meaningful, and usable when it comes to a viewers psychological standpoint.

    Can I incorporate images from the internet in my design?

    • No, clients cannot request to use copyrighted material in their designs. This includes images from websites not owned by the client, search engine image results, social media images or graphics, or branded content by any business, organization or entity. 

    Can I provide Modivize with images from the internet to get an idea of what I’m looking for in my design?

    • Yes, clients can send Modivize copyrighted or branded content that may help Modivize to gain a full picture of what the client is in search of for their design.

    5.e Can I purchase the design files for graphic, ad or logo design?

    Yes, we release the design file for any graphic, ad, or logo designs we make at Modivize for a one-time fee upon request. Please review the following:

    Graphic designs: 

    Clients can purchase graphic design working files for $75 each upon request once your 1-time package is completed. Graphic design files are in .psd (Photoshop) format. In order to edit the file you will require an up-to-date version of Adobe Photoshop.

    Ad designs: 

    Clients can purchase ad design working files for $75 each upon request once your 1-time package is completed. Ad design files are in .psd (Photoshop) format. In order to edit the file you will require an up-to-date version of Adobe Photoshop.

    Logo designs:

    5.f How are my mockup design files delivered to me for review?

    Client design files are presented to them for review via their email or online storage of choosing. These methods are covered during the initial consultation process before Modivze starts work on the design(s) for the client.

    The supplied review mockups provided to the client for selection will be of lesser quality (lowered dpi) and watermarked for security purposes with Modivize’s branding.

    5.g How long do I have to make my decision for the logo design of my choice once my design mockups are sent to me?

    Once Modivize sends the client their design mockups, the client has 5 business days to reply to Modivize with their choice. 

    When doing so, the client has made their choice out of the 3 designs supplied and is ready to add their input on any changes they may wish to have made to that design.

    5.h How long do I have to make revisions to my graphic, ad, or logo design when Modivize sends me a revision of my chosen file? What types of changes can I request?

    Client provided revision feedback:

    The client has 3 business days to provide revision feedback for their chosen design which they were to state whether or not they require revisions made to it. These revisions are ‘simple’ revisions (small text, colour or graphic changes – cannot be a complete overhaul resulting in a brand new graphic). 

    If client does not respond to revision provisions:

    If the client does not get back to Modivize within the 3 day period, the client will be considered to have deemed their design as complete and the design process will then stop.

    As a result, the client will be sent their files in full size in JPEG, PNG, and/or SVG format. SVG files are for Graphic and Logo designs only and are not supplied for ad designs. Design files are in .psd (Photoshop) format or .svg (Illustrator) format. In order to edit the file you will require an up-to-date version of Adobe Photoshop and/or Adobe Illustrator.

    5.i I’ve purchased the design files for my graphic, ad, or logo design. What programs do I require to make changes to the working file? Does modivize show me how to make these changes?

    No, Modivize does not teach or show clients how to make edits to their graphic, ad, or logo design if they purchase the design (working) file. When a client purchases a design file(s) it is at the clients own discretion to learn how to properly use professional editing programs or hire a professional designer to make changes to their file(s).

    Every designer has various methods they use that work for them when using professional design programs such as Adobe Photoshop or Adobe Illustrator. Editing methods for layout and design will vary greatly depending on the designer you choose as every designer has their own way to design graphics, ads, and logos. When choosing a designer, it will be at the designer’s discretion to learn how to edit the working file or decline edits for the client. 

    When a client purchases the design (working) file(s), they will be sent their files in full size in JPEG, PNG, and/or SVG format. SVG files are for Graphic and Logo designs only and are not supplied for ad designs.

    Where multiple hours of recording may be required per-location, RAW files are the largest file sizes and take up a lot of space on a harddrive. In these cases the client will be charged an additional fee for the required number of storage devices. All storage devices will be new external harddrives capable of holding RAW video formats and cannot be a flash drive or SD card.

    7.e I want to have drone video in my commercial. Are there any restrictions for my area or particulars?

    Yes, in some cases there are restrictions where we can operate a drone to conduct drone footage for your commercial. When conducting initial consultation with a client Modivize will go over the needed credentials to verify if drone operations are possible for your location. 

    The following points must be covered:

    • Drones must be operated away from bystanders at a minimum horizontal distance of 30 metres
    • Drones must be operated away from emergency operations and advertised events
    • Drones can only be operated outside of restricted access aerodrome areas
    • Drones can be operated 5.6km (3 nautical miles) away from airports
    • Drone can be operated 1.9km (1 nautical mile) away from heliports
    • Drones must only be operated outside of controlled airspace
    • Drones can only be operated inside a private property area with the written allowance of the owner or land leaseholder 
    • Drones cannot be operated in such a manner that disturb or distress wildlife
    • Drones cannot be operated outside of the line of sight 
    • Drones cannot conduct flight above 122 meters (400 feet) in air
    • Drones cannot be operated near forest fires, outdoor concerts or parades 
    • Drones cannot be operated near other drones, aircraft or helicopters 

    Fore more information, please visit the following link from the Government of Canada entitled ‘Flying your drone safely and legally.’

    In the event a client wishes to have drone work completed for their commercial that goes against Government of Canada drone safety regulations, Modivize must decline drone work for the restricted areas. In this case the client should come up with alternative flight routes.

    7.f What types of video commercials are against Modivize’s ethical code?

    Modivize reserves the right to decline video commercials that infringe on the following. 

    • Abusive nature (child abuse, spousal abuse, partner abuse, workplace abuse, animal abuse, sexual abuse, physical abuse, verbal/emotional abuse, mental/psychological abuse, cultural/identity abuse, racial abuse, financial/economic abuse.
    • Commercials aimed to defame a person, business, corporation, entity, company, government, organization, etc.
    • Racially charged nature 
    • Pornographic or sexual nature 
    • Drug use or associated drug paraphernalia  
    • Political involvement (Modivize wishes to stay neutral in the eye of politics)

    7.g How will my final video commercial file be delivered to me?

    Your final video commercial file will be delivered to you via the method of your choosing below: 

    • Google Drive Link 
    • Dropbox Link
    • Mailed thumb drive (no extra cost for drive or shipping unless client wishes for thumb drive to be shipped at the quickest rate possible)

    7.h Can you just post my video to YouTube as an ‘unlisted’ video link so I can download it from there?

    No, Modivize does not post your video to YouTube as an unlisted video for clients to download. We do not do this because YouTube video downloaders do not support quality downloads. This means the video you download will not be the same as the video recorded quality.

    7.i Can I make revisions to a written script and / or narration?

    Narrations and scripts must be finalized before any video commercial editing work is to be conducted. Modvize has specified time limits below for clients to ensure completion of written scripts for their video commercial. These limits are placed to ensure compliance of the client to ensure all particulars are met for their project in an appropriate time frame.

    How many revisions can I make to a written script once Modivize sends it to me? How much time do I have to respond with my changes?

    Clients who wish to have a written script completed by Modivize for their video commercial have 2 revision periods before script completion. 

    Clients must supply their written script particulars within 3 business days to Modivize to ensure appropriate work flow and delivery. All revision particulars must be simply stated via email to info@modivize.com

    It is every client’s responsibility to ensure their script has been sent to the correct email address. Please be certain to check the spelling of the email and ensure the email has been properly sent in plain text (not a word document). Only send 1 email per revision period and ensure your written script revision particulars have no errors that will be subject to change.

    Once Modivize supplies the client with their revised script for review, the client has 3 business days per-revision period to make changes. If the client does not correspond with Modivize within the 3 business day period, the written script will be deemed as completed and ready for narration.

    Can I make changes to narration once a written script is finalized?

    No, clients cannot make revisions to a narration once a written script is finalized after the specified 2nd revision period.

    Can I send in my own written script to Modivize to be narrated?

    Yes, in some cases a client will wish to use their own script. Upon signing up for a Video Commercial package with Modivize, the client must supply their script within 7 business days to Modivize to ensure appropriate work flow and delivery.

    Once sent to Modivize, the script is deemed as final and changes cannot be made. 

    Can I send in my own pre-recorded narration to Modivize to use in my commercial?

    Yes, in some cases a client will wish to use their own pre-made narration. Upon signing up for a Video Commercial package with Modivize, the client must supply their narration within 7 business days to Modivize to ensure appropriate work flow and delivery.

    7.j Can I supply Modivize with my own video, photo, or graphic files to place in my video commercial?

    No, Modivize does not accept external video resources outside of the video work Modize conducts for clients. This is due to quality control to ensure the best quality is provided to the client without changing the flow of the project. It is Modivize’s Quality Control duty to ensure all video commercial work is presented in an industry appropriate manner.

    7.k Can I make revisions to my video commercial? How many revisions can I make? What kind of revisions can I request? Are there revision time periods?

    At this point all video commercial written scripts and narrations have been finalized, recorded and deemed completed for your video commercial. The client can make specific revisions to their video commercial once a completed product is sent to the client, though these revisions are small in nature and must not be deemed as a complete or partial overhaul of the original video commercial presented by Modivize. 

    The following changes can be made per revision period:

    • Logo sizing and placement 
    • Written text style, sizing and placement 
    • Transition styles between scenes 
    • Animated title styles and placement (lower third titling)
    • End title screen or attribution 
    • Background colours 

    How many revisions can I make to my video commercial once Modivize sends it to me? How much time do I have to respond with my changes?

    What if I want more revisions made to my video commercial outside of Modivize’s 2 revision period?

    Modivize is happy to supply extra revisions to a client for a fair price. Additional revision periods will be charged to a client at $75 per-hour of work. Upon the client’s request for extra changes, the client will be given a quote for the estimated hours of work involved in their request. Upon agreement of the price quoted by Modivize, the client will be billed up front for the work to be conducted.

    All revisions must be appropriate in nature and must not abuse Modivize’s agreed contract. Such instances are put in place to ensure Modivize employees are compensated for their work and not become involved in a revolving door of unpaid revisions via an indecisive client. 

    The following changes can be made per extra revision period:

    • Logo sizing and placement 
    • Written text style, sizing and placement 
    • Transition styles between scenes 
    • Animated title styles and placement (lower third titling)
    • End title screen or attribution 
    • Background colours 

    7.l Does Modivize hold the right to refuse proposed work?

    Yes, Modivize holds the right to refuse unsafe work. All project parameters are to be discussed upon the initial consultation process once a Video Commercial package is chosen by the client. 

    Right to refuse work during consultation period:

    If at any point in the beginning consultation process does the client wish for Modivize to conduct unsafe work procedures during the project, Modivize reserves the right to refuse the work, while the client must come up with other alternatives that comply with safety measures. 

    Only when and if the client does not wish to comply, Modivize reserves the right to refuse all work, furthermore making the Video Commercial contract null and void. In this case the client will be billed appropriately for the beginning consultation process to cover consulting time lost.

    Right to refuse work during contracted period on location(s) of video commercial shoot:

    If at any point of the video commercial shoot location process does the client wish for Modivize to conduct unsafe work procedures, Modivize reserves the right to refuse the work, while the client must come up with other alternatives that comply with safety measures. 

    Only when and if the client does not wish to comply, Modivize reserves the right to refuse all work, furthermore making the Video Commercial contract null and void. In this case the client will be billed appropriately for the beginning consultation process to cover consulting time lost, along with any work conducted up to the moment of completion. At this point all work will fees will be tallied appropriately and be billed automatically to the client.

    7.m Can I offer lodging and amenities as compensation for work to cut down the cost of my video commercial if I own a lodge, bed and breakfast, Air b’n’b, motel, or hotel?

    No, Modivize does not allow for businesses to use substitute payment methods for compensation of work at any point in time. Modivize does not consider travelling to a location as a vacation or getaway, but wishes to conduct professional work in a timely and effective manner with every client.

    7.n My commercial location is located outside of the city of Halifax, Nova Scotia. When do I discuss travel and lodging arrangements with Modivize for my video commercial?

    Modivize will discuss whether or not travel will be appropriate during the initial consultation between the modivize consultant and the client. 

    For clients who have a video shoot location or locations outside of the city of Halifax, Nova Scotia, the planned shoot times for the commercial project may vary depending on the needed days to travel and shoot the needed shots for the clients commercial. 

    What types of lodging and travel arrangements are appropriate? 

    For legal and insurance purposes, Modivize shall be provided with board at an accredited, legally recognized lodge, bed and breakfast, Air b’n’b, motel, or hotel in the specified area.

    For legal and insurance purposes, Modivize shall be provided with travel tickets with an accredited, legally recognized travel service that provides taxi by boat, train, bus, taxi cab, rental car or airfare.

    Note: Modivize charges by the hour for travel factoring in for all work time compensation = $45/hour x 2 workers, but also for gas funds spent to arrive to clients destinations of lodging and shooting.

    Modivize does not take care of the following on behalf of the client:

    • Lodging bookings x 2 Modivize employees
    • Boat ticket bookings x 2 Modivize employees
    • Train ticket bookings x 2 Modivize employees
    • Bus ticket bookings x 2 Modivize employees
    • Rental car bookings 
    • Airfare ticket bookings x 2 Modivize employees

    How and when do I pay for Modivizes travel and lodging?

    Upon agreement of a contract with all particulars written out and signed off by both Modivize and the client, the client must make pre-arrangements with their specified travel methods and lodging of choice. Once arrangements have been made, the client must contact Modivize via email at info@modivize.com regarding the booking information as soon as possible. 

    Necessary Considerations (not conditional): When making travel arrangements and bookings, please account for time to travel from one location to another. Arrangements must be reasonable giving enough time for traffic, necessary transportation time and realistic arrival and departure times and dates.

    7.o Does Modivize give discounts to organizations who require Video (ground and drone) Commercial services?

    No, Modivize does not give discounts to organizations. All businesses, organizations, and entities are treated equally for all service packages, unless promo codes are available.

    8.e What types of Animation Commercials are against Modivize’s ethical code?

    Modivize reserves the right to decline animated commercials that infringe on the following. 

    • Abusive nature (child abuse, spousal abuse, partner abuse, workplace abuse, animal abuse, sexual abuse, physical abuse, verbal/emotional abuse, mental/psychological abuse, cultural/identity abuse, racial abuse, financial/economic abuse.
    • Commercials aimed to defame a person, business, corporation, entity, company, government, organization, etc.
    • Racially charged nature 
    • Pornographic or sexual nature 
    • Drug use or associated drug paraphernalia  
    • Political involvement (Modivize wishes to stay neutral in the eye of politics)

    8.f How will my final animated commercial file be delivered to me?

    Your final animated commercial file will be delivered to you via the method of your choosing below: 

    • Google Drive Link 
    • Dropbox Link
    • Mailed thumb drive (no extra cost for drive or shipping unless client wishes for thumb drive to be shipped at the quickest rate possible)

    8.g Can you just post my animated commercial to YouTube as an unlisted video link so I can download it from there?

    No, Modivize does not post your video to YouTube as an unlisted video for clients to download. We do not do this because YouTube video downloaders do not support quality downloads. This means the video you download will not be the same quality as the final animation video file.

    8.h Can I make revisions to a written script and / or narration?

    Narrations and scripts must be finalized before any animation commercial editing work is to be conducted. Modvize has specified time limits below for clients to ensure completion of written scripts for their animation commercial. These limits are placed to ensure compliance of the client and to ensure all particulars are met for their project in an appropriate time frame.

    How many revisions can I make to a written script once Modivize sends it to me? How much time do I have to respond with my changes?

    Clients who wish to have a written script completed by Modivize for their animated commercial have 2 revision periods before script completion. 

    Clients must supply their written script particulars within 3 business days to Modivize to ensure appropriate work flow and delivery. All revision particulars must be simply stated via email to info@modivize.com

    It is every client’s responsibility to ensure their script has been sent to the correct email address. Please be certain to check the spelling of the email and ensure the email has been properly sent in plain text (not a word document). Only send 1 email per revision period and ensure your written script revision particulars has no errors that will be subject to change.

    Once Modivize supplies the client with their revised script for review, the client has 3 business days per-revision period to make changes. If the client does not correspond with Modivize within the 3 business day period, the written script will be deemed as completed and ready for narration.

    Can I make changes to narration once a written script is finalized?

    No, clients cannot make revisions to a narration once a written script is finalized after the specified 2nd revision period.

    Can I send in my own written script to Modivize to be narrated?

    Yes, in some cases a client will wish to use their own script. Upon signing up for an Animation Commercial package with Modivize, the client must supply their script within 7 business days to Modivize to ensure appropriate work flow and delivery.

    Once sent to Modivize, the script is deemed as final and changes cannot be made. 

    Can I send in my own pre-recorded narration to Modivize to use in my animation commercial?

    Yes, in some cases a client will wish to use their own pre-made narration. Upon signing up for an Animation Commercial package with Modivize, the client must supply their narration within 7 business days to Modivize to ensure appropriate work flow and delivery.

    8.i Can I supply Modivize with my own photos or graphic files to place in my video commercial?

    Yes, Modivize accepts photos or graphics that a client may wish to include in their animated commercial. Keep in mind the photos and graphics you wish to provide must be industry standard in size and resolution.This is due to quality control to ensure the best quality is provided to the client without changing the flow of the project. It is Modivize’s Quality Control duty to ensure all animated commercial work is presented in an industry appropriate manner.

    8.j Can I make revisions to my animated commercial? How many revisions can I make? What kind of revisions can I request? Are there revision time periods?

    At this point all animation commercial written scripts and narrations have been finalized, recorded and deemed completed for your animated commercial. The client can make specific revisions to their animated commercial once a completed product is sent to the client, though these revisions are small in nature and must not be deemed as a complete or partial overhaul of the original animated commercial presented by Modivize. 

    The following changes can be made per revision period:

    • Logo sizing and placement 
    • Written text style, sizing and placement 
    • Transition styles between scenes 
    • Animated title styles and placement (lower third titling)
    • End title screen or attribution 
    • Background colours 
    • Minor character changes (hair, clothing type/colour, direction)

    How many revisions can I make to my animated commercial once Modivize sends it to me? How much time do I have to respond with my changes?

    Clients who wish to have revisions completed by Modivize for their animated commercial have 2 revision periods before animated commercial completion. 

    Clients must supply their animated commercial revision particulars within 3 business days to Modivize to ensure appropriate work flow and delivery. All revision particulars must be simply stated via email to info@modivize.com

    It is every client’s responsibility to ensure their animated commercial revision particulars have been sent to the correct email address. Please be certain to check the spelling of the email and ensure the email has been properly sent in plain text (not a word document). Only send 1 email per revision period and ensure your written script revision particulars has no errors that will be subject to change.

    Once Modivize supplies the client with their revised animated commercial for review (via unlisted YouTube link), the client has 3 business days per-revision period (you get 2 periods) to request changes. If the client does not correspond with Modivize within the 3 business day period, the animated commercial will be deemed as completed and ready for final sending to the client via their method of choice:

    8.k Does Modivize give discounts to organizations who require Animated Commercials & Expainers services?

    No, Modivize does not give discounts to organizations. All businesses, organizations, and entities are treated equally for all service packages, unless promo codes are available.

    9.b How am I billed for a Business and/or Marketing Plan?

    Payment Coming from Client:

    When you purchase your Business Plan, Marketing Plan (or both), you will be billed automatically for 60% of the service up front. Upon completion of the Business and/or Marketing Plan, the client will pay the next 40%. 

    Upon requesting a Business and/or Marketing Plan service, the client will be required to sign and date an official contract stating what will be delivered, consultation periods, expectancies of the client, and final deliverables. In tandem with the contract, the client will also be required to sign a privacy declaration.

    Payment Covered by Funding Organization (and sometimes partially by client):

    In some cases a client will acquire funding for their business and/or marketing plan via a funding source at a business organization such as CBDC, BDC, ACOA, Futurepreneur, Ulnooweg (indigenous business funding), etc.

    When such a funding initiative is covered by a business organization for the client, the client will be asked to provide a certified document from the business funding organization or agency stating that the client has been accepted for Business Plan and/or Marketing Plan funding. This letter must state how the funding organization wishes to correspond with the client/Modivize along with appropriate payment measures and expectancies.

    The client is expected to follow through with all directives set out by both the business funding organization/agency, and Modivize at all times. The client must also agree to correspond with Modivize of any requests the business funding organization/agency may have. In this case the client must immediately send Modivize the new requests from the funding organization/agency to info@modivize.com

    At no time is a client permitted to write their own letter on behalf of a business funding organization stating the business organizations funding particulars. This measure is set in place to protect Modivize from client fraud. Acceptance letters must be authentic without any information blocked, blacked out, omitted, deconstructed, misrepresented, or missing. 

    In essence of this, Modivize will require the client to sign a declaration and contract agreement stating they understand the following:

    • Privacy agreement
    • What services are being provided to the client 
    • Pricing for the business and/or marketing plan
    • When and how payments will be made
    • When consultation periods will take place between the client and Modivize 
    • What the client will be required to send to Modivize after weekly consultations
    • How much time the client has to send their information and particulars to Modivize  
    • Revision period times, limitations and deadlines 
    • Final delivery of files and file format agreements

    In addition, if the client wishes to have a physical copy printed and binded, then sent to their business or organization address, the client will be charged an additional amount of .25 cents per printed page (back to front).

    9.e When will I receive my contract and paperwork from Modivize?

    When the client signs up for a business and/or marketing plan package, Modivize will hold a 1-hour long initial consultation with the client to go over the particulars of what is expected of them over the next month.

    During this time the client must agree to specified time periods per week set at 2 hours per-week for the extent of 4 weeks to complete their business plan.

    Once all particulars are discussed, Modivize will write up the contract pertaining to all information and dates, then send the client their contract and paperwork for signing.

    9.f How long do I have to sign and return my Business Plan and/or Marketing Plan contract to Modivize via email attachment?

    The client has 3 days (total – including and excluding business days) to review, sign, date and return their contract to Modivize at info@modivize.com . If the client does not sign their contract during the specified period, the contract will become null and void.

    9.g How many consulting hours do I get per week with my Business and/or Marketing Plan consultant at Modivize?

    Modivize holds consulting sessions at pre-arranged 2-hour periods per week for the duration of 4 weeks. During the consultation, the clients Modivize consultant will review upcoming information that will go into their document for the following week.

    9.h My Modivize consultant has requested I send them information for my business and/or marketing plan after our weekly consultation. How long do I have to get this information back to them?

    The client will have 5 business days to gather the required information in an organized and concise fashion, then send it to Modivize via info@modivize.com .

    9.i When a funding organization/agency makes a request of Modivize to supply information during the Business and/or Marketing Plan process, do I relay this information via phone call or email?

    Clients are strictly prohibited to request changes on behalf of a funding organization via phone call. This standard is set in place for liability and security reasons. If a business funding organization/agency requests information, the client must relay this information in an email by forwarding the email sent by the business funding organization/agency to Modivize at info@modivize.com for review and consideration.

    9.j Once a contract agreement has been signed, can I request changes to the process? Can the business funding organization/agency request changes to the process?

    Clients and business funding organizations/agencies are strictly prohibited to request changes to any process once a contract has been signed and dated. Once a contract is signed, dated, and approved by Modivize, the contract is set to live out its term until completion.

    9.k Does Modivize have the right to refuse work with a client in the event the client becomes unresponsive, neglectful, uncooperative, and/or abusive?

    Yes, Modivize reserves the right to put a halt to and stop all work with a client if a client becomes:

    Unresponsive Repercussions: 

    If a client becomes unresponsive outside of the designated consultation and revision periods, the client is deemed to have abandoned the project as per their contract agreement. 

    At this point the client will be issued a ‘letter of Unresponsive Abandonment’ via their email which will be signed and dated by Modivize. This letter will also make reference to the contract agreement signed by the client showing they have agreed to the time periods involved and have not taken proper measures to maintain it.

    Once an abandonment letter has been sent to the client, the client has 24 hours to dispute the matter with Modivize. If the client fails to dispute their claim, or if Modivize deems the dispute inexcusable, Modivize will issue immediate payment for all services delivered up to that point in time via paid by the hour services from the overall price of the project.

    If the client has been undergoing Business and/or Marketing Plan funding, the clients business funding organization/agency will also receive a signed and dated letter on behalf of Modivize requesting immediate payment for all services delivered up to that point in time via paid by the hour services from the overall price of the project. In this case the client may lose some or all access to their project funding on behalf of the decision of the business funding organization/agency, or the agency will cover a partial amount while the client must follow through with their portion of the payment.

    Neglectful Repercussions:

    If a client becomes neglectful of the designated consultation and revision periods, the client is deemed to have abandoned their project duties as per their contract agreement. All contracts are to be taken seriously and are not permitted to be considered at a clients leisure.

    At this point the client will be issued a ‘letter of ‘Neglectful Abandonment’ via their email which will be signed and dated by Modivize. This letter will also make reference to the contract agreement signed by the client showing they have agreed to the time periods involved and have not taken proper measures to maintain it.

    Once a Neglectful Abandonment letter has been sent to the client, the client has 24 hours to dispute the matter with Modivize. If the client fails to dispute their claim, or if Modivize deems the dispute inexcusable, Modivize will issue immediate payment for all services delivered up to that point in time via paid by the hour services from the overall price of the project.

    If the client has been undergoing Business and/or Marketing Plan funding, the clients business funding organization/agency will also receive a signed and dated letter on behalf of Modivize requesting immediate payment for all services delivered up to that point in time via paid by the hour services from the overall price of the project. In this case the client may lose some or all access to their project funding on behalf of the decision of the business funding organization/agency, or the agency will cover a partial amount while the client must follow through with their portion of the payment.

    Uncooperative Repercussions:

    If a client becomes uncooperative of the designated consultation and revision periods, the client is deemed to have abandoned their project duties as per their contract agreement. All contracts are to be taken seriously and are not permitted to be considered at a clients leisure. When a client signs a contract agreement, the client is expected to perform their agreed to duties in full without hesitation.

    At this point the client will be issued a ‘letter of Uncooperative Abandonment’ via their email which will be signed and dated by Modivize. This letter will also make reference to the contract agreement signed by the client showing they have agreed to the contract particulars and time periods involved and have not taken proper measures to maintain it in a civil manner.

    Once an Uncooperative Abandonment letter has been sent to the client, the client has 24 hours to dispute the matter with Modivize to correct their actions. If the client fails to correct their actions, or if Modivize deems the correction inexcusable, Modivize will issue immediate payment for all services delivered up to that point in time via paid by the hour services from the overall price of the project.

    If the client has been undergoing Business and/or Marketing Plan funding, the clients business funding organization/agency will also receive a signed and dated letter on behalf of Modivize requesting immediate payment for all services delivered up to that point in time via paid by the hour services from the overall price of the project. In this case the client may lose some or all access to their project funding on behalf of the decision of the business funding organization/agency, or the agency will cover a partial amount while the client must follow through with their portion of the payment.

    Abusive Repercussions:

    If a client becomes abusive or defamatory towards Modivize, its employees, consultant(s), its business, online presence and platforms, or any form of Modivize embodiment, or with regards to the designated consultation and revision periods, the client is deemed to have abandoned their project duties as per their contract agreement. All contracts are to be taken seriously while all clients must conduct themselves, their employees and/or partners in a civil manner without harm. When a client signs a contract agreement, the client is expected to perform their agreed to duties in full without hesitation in an appropriate manner.

    At this point the client will be issued a ‘letter of Abusive Abandonment’ via their email which will be signed and dated by Modivize. This letter will also make reference to the contract agreement signed by the client showing they have agreed to the contract particulars and time periods involved and have not taken proper measures to maintain it in a civil manner.

    Once an Abusive Abandonment letter has been sent to the client, the client does not have the right to correct their actions due to Modivize having a zero tolerance for abuse policy. At this point in time Modivize will issue immediate payment for all services delivered up to that point in time via paid by the hour services from the overall price of the project.

    If the client has been undergoing Business and/or Marketing Plan funding, the clients business funding organization/agency will also receive a signed and dated letter on behalf of Modivize requesting immediate payment for all services delivered up to that point in time via paid by the hour services from the overall price of the project. In this case the client may lose some or all access to their project funding on behalf of the decision of the business funding organization/agency, or the agency will cover a partial amount while the client must follow through with their portion of the payment.The agency may also hold the right to refuse immediate and future services to the client.

    9.l Can I request a detailed outline for a Business and/or Marketing Plan?

    No, a client cannot request a detailed outline for a business and/or marketing plan. All business and/or marketing plan particulars can be found on Modivizes Business & Marketing Plan Services page at https://modivize.com/business-marketing-plans/ .

    9.m Does Modivize give discounts to organizations who require a business and/or marketing plan?

    No, Modivize does not give discounts to organizations. All businesses, organizations, and entities are treated equally for all service packages, unless promo codes are available.

Unsolicited commercial email, or SPAM, is prohibited.  Our network is not designed to be used for mailing lists with over five hundred (500) recipients and you may not send an email to more than five hundred (500) recipients.  If you need to send an email to over five hundred (500) recipients, please contact our Support Team for a list of other service providers that can assist with this task. Even if you send email to fewer than five hundred (500) recipients, we will consider your mail to be unsolicited, or SPAM, if it results in a number of complaints to us, disrupts our network, or subjects us to unfavorable action by other Internet providers. Please review the “CAN-SPAM Act” and ensure that any commercial email you send complies with this Act. Email that is “CAN-SPAM compliant” may still otherwise be prohibited by our AUP. If you believe one of our customers is engaged in spamming, please send an email containing all headers, and your contact information, to: abuse(at)a2hosting.com (replace “(at)” with “@”).
    2. Certain content is prohibited. You are responsible for any content transmitted, or accessed, using our network. Transmission, storage, or presentation of any information, data or material in violation of any applicable law or regulation is prohibited. You may not use our network to facilitate the violation of any particular law or regulation or this AUP. The activities listed below are meant to provide you with examples of activities and content that are strictly prohibited by this AUP and is not exhaustive. Use of our network to host content related to or to engage in the following activities is strictly prohibited.
      1. Topsites;
      2. IRC scripts/bots, IRCD (irc servers), AutoSurf/PTC/PTS/PPC sites;
      3. IP scanners, Bruteforce Programs/Scripts/Applications;
      4. Mail Bombers/Spam Scripts;
      5. File Dump/Mirror Scripts (similar to rapidshare);
      6. Anonymous or Bulk SMS Gateways;
      7. Websites or links to websites advocating human violence and hate crimes;
      8. Websites promoting illegal activities. or linking to other websites that promote illegal activities;
      9. selling, or otherwise disseminating, pornography or other erotic material, regardless of its literary merit;
      10. hosting adult thumbnail galleries/banner exchanges;
      11. lottery/gambling or chain letters, regardless of content, and regardless of your citizenship;
      12. advertising, advocating or operating High-Yield Interest Programs (HYIP) , Ponzi or Pyramid schemes, prime banks programs, Bank Debentures/Bank Debenture Trading Programs, or Related Sites;
      13. fraudulent sites (Including, but not limited to sites listed at aa419.org & escrow-fraud.com).
      14. broadcasting or streaming of live sporting events (UFC, NASCAR, FIFA, NFL, MLB, NBA, WWE, WWF, etc.) or television;
      15. cryptocurrency/bitcoin miners;
      16. impersonating another user or otherwise falsifying one’s user name in email, Usenet postings, on Internet Relay Chat (IRC), or with any other Internet service;
      17. dox or posting personally identifiable information such as addresses and phone numbers of individuals with the hope of causing damage or harm to said person. This does not cover Government officials when providing contact email addresses or the representatives work phone;
      18. content that promotes or advocates human trafficking in any way shape or form as determined by Modivize Web Solutions sole discretion, sites that promote prostitution, or escort services;
      19. network unfriendly activity (ex: attempts to interfere with our network or network connections or which adversely affect the ability of other people or systems to use our network or the Internet);
      20. creating, posting or sending Warez, Roms, CD-Keys, cracks, passwords, serial numbers, Internet viruses, worms or Trojan horses, engaging in denial of service attacks, or hosting content that is intended to assist others in defeating technical copyright protections;
      21. posting links to prohibited items, facilitating a violation of our Policies, or instructing others in illegal or prohibited activities; and
      22. setting up or using (via the Service) proxies, proxy scripts/anonymizers of any kind.

     If you believe that another customer is using our network in violation of these Policies, please contact us.

    1. Defamation. Modivize Web Solutions websites are hosted on servers and are regulated by U.S. law. Pursuant to Section 230(c) of the Communications Decency Act of 1996, Modivize’s policy is not to remove allegedly defamatory material from websites hosted on our servers unless the material has been found to be defamatory by a Federal or state court of the United States, as evidenced by a court order. As a hosting service provider, Modivize Hosting is not a publisher of User content and we are not in a position to investigate the veracity of individual defamation claims. We rely on the legal system to provide guidance and to determine whether or not material is indeed defamatory. If a Federal or state court of the United States deems material to be defamatory, libelous, or slanderous in nature, we will fully comply and disable access to the material in question in accordance with a court order. Similarly, if a Federal or state court of the United States places an injunction on specified content or material being made available, we will comply and remove or disable access to the material in question, per a court order.
    2. Network Stability. Our network is designed to meet the anticipated needs of our customers, users, and our needs. If we determine that your use of the Services is in breach of our Policies or impairs the stability of our equipment, technology or network, we may suspend your use of the network, throttle back the bandwidth available for your use, or terminate our agreement with you, in our sole discretion.
    3. Monitoring of Communications. We have the duty and obligation to comply with U.S. law. In certain cases that means that your use of the Services will be monitored. You agree that we are not considered a secure communications medium for the purposes of the Electronic Communications Privacy Act, and that you have no expectation of privacy.  From time-to-time we may monitor your use of the network for statistical purposes and to improve the use of our network. Any such monitoring will be done in accordance with our Privacy Policy, located at www.modivize.com/terms-of-service, and our Terms of Service, located at https://www.modivize.com/terms-of-service.
    4. Child Pornography. Modivize Web Solutions takes a strong zero tolerance stance on child pornography, content perceived to be child pornography or child exploitative content. Any website found to host child pornography, link to child pornography or exploitative content will be suspended immediately without notice or warning.

    4. Use of Hosting Services

    1. IP Addresses. The IP addresses we assign to you are the only ones you may use in connection with the Services. Your use of the Services may be suspended if we determine that you are using other IP addresses. IP addresses are part of your use of the Services, and are owned by us and simply assigned to you while you are a customer. We may change these addresses if necessary. IP addresses may not be assigned or transferred, and will be recycled by us if you terminate your use of the Services.
    2. Software.  We may provide software for you to use while you are a customer as part of the Services. Generally speaking, this software is sublicensed to you, and may not be further sublicensed or used for purposes other than those expressly permitted in our TOS or our other Policies, and in the documentation provided with the software. You will be given, or given access to, a software license. This license may further restrict your use of the software. We do not provide support for software whether you license it through us, or have licensed it independently.

    5. Client Notification

    In the event of a violation of any of our Policies, including this AUP, our Compliance Team will take commercially reasonable steps to notify you via email with relevant details about the alleged violation.  Compliance with applicable Federal, State, and Local laws, and court orders will also be taken into account when we respond to alleged violations.

    22. Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site (https://www.modivize.com).

    24. Use the Site (https://www.modivize.com) if you are under 18 years of age. In the event a user is under 18 years of age, the user must have the permission of their parent or legal guardian to use the parent or guardians account. When Artbir users sign up for an Artbidr account, the user enters into a contract where they agree that they are legally liable for their account at all times. If any user of the account conducts illegal or unlawful activity, the account owner is held liable.     Use License

    If you access the Marketplace Offerings via a mobile application, then we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile application on wireless electronic devices owned or controlled by you, and to access and use the mobile application on such devices strictly in accordance with the terms and conditions of this mobile application license contained in these Terms of Use.     Apple and Android Devices

    This is Modivize Web Solutions (“Modivize”, “we”, or “our”) Privacy Policy.  This Privacy Policy discusses the ways in which we collect, use, maintain and disclose information collected by us from our customers, visitors to our websites, and, in some cases, visitors to our customer’s websites (“Users”).  Capitalized terms used but not defined in this policy have the meaning given to them in our Terms of Services, located at: www.modivize.com/terms-of-service .

    2. Purpose

    The nature of internet business requires us to collect information from Users. While this policy is entitled a “privacy policy,” it discusses all of the ways in which we use information collected directly or indirectly from our Users, including personally-identifiable information gathered by us (“PI”) and other anonymous information (“AI”) (collectively, “Information”).  Information transmitted, collected, processed or which is otherwise provided to us by Users is not necessarily considered by us to be private.     3. Acceptance of the Policy

    If we make a change to this Policy that, in our sole discretion, is material, we will notify you by email, post a notice of such changes on the Site or flag our Privacy Policy on the Site as updated.  You agree to our use of electronic communications with you for purposes of this Policy.     5. Information that we Collect; Use of Information.

    1. Generally. We may use PI as required or permitted by law, including in response to service of legal process (court order, summons, subpoena, and the like).  We may disclose PI to law enforcement or regulatory authorities as part of an investigation into activity at the Site (such as a suspected breach). We shall use commercially reasonable measures to limit disclosure and use of such PI.  We may use PI in connection with the establishment or defense of legal claims.  Any information sent to us will not be deemed to be confidential, and may be shared by us with any other individual or entity, regardless of whether you mark it confidential.
    2. Information contained in your customer record. Users who are our customers provide us with their name, address, phone number, user name, credit/debit card or bank information and other personally identifiable or confidential information and other information we require to provide Service to them. We may also acquire information about customers from third parties such as credit reporting agencies, as well as collect information about our customers’ use of the Services. This information may be linked to the information provided to us by our customers to create an administrative record and is referred to as “Registration and Billing Information”.
    3. User inquiries. Users who contact us with questions may be required to give us additional information to assist us in resolving their questions, or to assist us in our business (“User Inquiry Information”).

Anonymous Information.  We collect anonymous information (AI) regarding your use of the Site, such as computer-related information (browser type you used, your Internet Protocol address, last URL visited, and the date and time of day of your login). We send a “cookie” or “pixel tag” to your computer which contains an identification number that is unique to the computer you are using. Unrelated Third Party Links and Information.  Our Site contains links to other websites or other information and materials provided by third parties (by way of example, links to third party social media websites). We do not own or control such other websites or third parties and are not responsible for the information provided at those websites or in such materials.  We do not control, and are not responsible for, their privacy policies or the information collected at such third party websites.
    7. Customer Inquiries. We use customer inquiry information to identify Users personally. It is used throughout our business to provide services to Users, and to market new products and services to Users. Customer inquiry information is shared with third parties in the following circumstances: to identify and fix problems with the Services when we are not capable of doing so ourselves. Providers of third party products may require us to provide them with customer inquiry information. When Customer Inquiry Information is shared with third parties in these circumstances, the third parties are required to keep this information confidential.  Further, entities that provide products to us may have privacy policies that differ from ours. We will be happy to provide you with the names of those businesses that provide Services through us to you, and links to their privacy policies, on your request.
    8. Information about Children. We do not knowingly collect personally identifiable information from children under the age of 13.  If a parent or guardian believes that their child under the age of 13 has provided us with personally identifiable information, they should contact us.
      Other than in response to a lawful request by public authorities, Modivize Hosting only shares your personal information with third parties who are acting as Modivize Hosting’s agents or subcontractors and only uses your personal information for the purposes stated herein (or other purposes stated at the time of collection). Should Modivize Hosting’s practices with respect to processing or use of personal information change, Modivize will provide you with notice (either by means of an amendment to this Privacy Policy or otherwise) and provide you with an opportunity to opt out.

    6. Your Access to and Ability to Change PI

    You may request access, updating and corrections of inaccuracies in your PI by contacting us as set out below.  For security purposes, we may request PI from you in connection with such access.  You may also: (i) modify your information through your control panel in your account, or (ii) ask that information regarding your inquiries be deleted by contacting us at info@modivize.com .

    7. Deleting and Retention of PI

    You may request that we delete your PI, and we shall attempt to accommodate such requests.  However, we may retain and use PI for such periods of time as required or permitted by law or best business practices.

    8. Security

    We have implemented technical, physical and administrative safeguards designed to protect PI against loss and against unauthorized access, use, and disclosure.  Passwords are stored on our server in encrypted form. We have personal information retention processes designed to retain personal information as necessary for the purposes stated above or to otherwise meet legal requirements.  Unless this Privacy Policy states otherwise, our employees are required to keep the information set out here confidential.

      COPYRIGHT INFRINGEMENTS

      We respect the intellectual property rights of others. If you believe that any material available on or through the Site infringes upon any copyright you own or control, please immediately notify us using the contact information provided below (a “Notification “).       DISPUTE RESOLUTION

      Informal Negotiations
      To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each a “Dispute” and collectively, the “Disputes”} brought by either you or us (individually, a “Party” and collectively, the “Parties”}, the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below} informally for at least ____ days before initiating arbitration.       Binding Arbitration

      Restrictions

The full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b} there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c} there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

      Exceptions to Informal Negotiations and Arbitration
      The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

      CORRECTIONS

      There may be information on the Site (https://www.modivize.com) that contains typographical errors, inaccuracies, or omissions that may relate to the Marketplace Offerings, including descriptions, pricing, availability, and various other information.       HIPPA does not apply to the service we provide. We are not a “Covered Entity” or a “Business Associate” as those terms are defined by HIPAA.  As HIPAA does not apply, our service does not need to and may not meet the standards set forth in HIPAA. Accordingly, using the service should not be used submit, store, or disclose information that would be subject to HIPAA in a manner that is compliant with HIPAA and its requirements.

      Pursuant to our Terms of Service (located at https://www.modivize.com/terms-of-service), you may provide us with an Endorsement in connection with your use of the Services. We may, at our discretion, use the Endorsement to promote our Services as specified in our Terms of Service. In connection with our use of your Endorsement, you hereby agree that we may use your first name, last initial, home state/province, voice or likeness, and/or contact information in connection with its publication of the Endorsement. If, at any time, you want us to stop using your Endorsement, please contact us at info@modivize.com as listed in our Terms of Service and we will cease using the Endorsement soon after processing your request.

      Privacy Complaints by European Union and Swiss Citizens:

      1. Modivize Hosting is subject to the investigatory and enforcement powers of the Federal Trade Commission.
      2.
